I have more than 40 packages in DTS and want to convert all the packages to SSIS. My question is
Is the SSIS change required for me to move to 2005 because the DTS packages can be managed well in the Management->Legacy in the SQL 2005 object explorer as such. What is the need of migration from DTS to SSIS???

Please let me know your suggestion on this.

You can maintain DTS packages in Legacy folder in SQL 2005. EVen modification can be done in sql 2005 by installing SQL DTS 2000 designer component. But if you want to take advantage of latest features of SSIS then you should upgrade. The upgradation can vary from straight forward to really painful steps based on complexity of your package. More often it has turned out that its much easier to recreate the package logic in SSIS than to upgrade for us.
